End-User License Agreement (EULA)

This End-User License Agreement ("Agreement") is a legal agreement between you ("User") and Ucora, a Canada corporation ("Company"), regarding your use of the Company's proprietary software, including all related documentation, updates, services and GamePlanPro™ (the "Software").

By accessing or using the Software, you agree to be bound by the terms of this Agreement. If you do not agree, do not use the Software.

1. License Grant

The Company grants you a limited, non-exclusive, non-transferable license to use the Software for your internal business purposes, subject to this Agreement.

2. Restrictions

You may not:

  • Modify, reverse engineer, decompile, or disassemble the Software;
  • Rent, lease, sell, sublicense, or otherwise distribute the Software;
  • Use the Software to provide services to third parties;
  • Bypass or disable any security features of the Software.

3. Ownership

The Software is licensed, not sold. The Company retains all right, title, and interest in the Software, including all intellectual property rights.

4. Third-Party Services

The Software may connect to third-party services such as Intuit QuickBooks® Online. Use of such services is subject to those third parties’ terms, and you are responsible for complying with them.

5. Data and Privacy

The Software may transmit certain data to and from QuickBooks® Online and OpenAI. By using the Software, you authorize such data exchange and agree to our Privacy Policy.

6. Termination

The Company may terminate this Agreement if you violate any terms. Upon termination, you must stop using and delete all copies of the Software.

7. Disclaimer of Warranties

The Software is provided "as is" without warranties of any kind. The Company disclaims all warranties, express or implied, including those of merchantability, fitness for a particular purpose, and non-infringement.

8. Limitation of Liability

To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, or consequential damages arising from use of the Software.

9. Governing Law

This Agreement is governed by the laws of the Province of BC, Canada, without regard to its conflict of laws principles.
